Reinwood Ltd v L Brown & Sons Ltd [2008] EWCA Civ 1090, [2008] All ER (D) 177 (Oct)

If a party refuses to perform a contract, giving a reason which is wrong or inadequate (or giving no reason at all), the refusal or termination may still be justified if there were at that time facts in existence which would have provided a good reason for the refusal.
